RULES & REGULATIONS

  1. NAME

The name of the Association shall be “Digital Communications India Forum” (DCIF) earlier known as “THE PACIFIC TELECOMMUNICATIONS COUNCIL- INDIA FOUNDATION” and shall hereafter be briefly referred to as “THE FORUM”

  1. MEMERSHIP 
  2. a) COMPOSITION – Membership is open to both entities and individuals.
  3. b) REQUIREMENTS FOR MEMBERSHIP – Applicants for membership must have and interest in telecommunications in India and the South Asia Area, must agree to accept the Memorandum and Rules and Regulations of The Forum and their underlying principles.
  4. c) ANNUAL DUES – Members will be assessed annual dues as determined by the Broad of Trustees. Annual dues shall become due and payable initially upon approval of the Members application and thereafter as of the fist day of The Forum Financial year.
  5. d) MEMBERSHIP RIGHTS – Each member shall be entitled to one vote for each matter submitted to a vote of the members at all meetings of members. The rights of a member to vote shall cease upon termination of membership. Members are entitled to receive minutes of meetings and newsletters and any other correspondence and information determined by the Board of Trustees or the Executive Board.
  6. e) MEMBERSHIP APPLICATION – Application for membership must complete and submit in official application form available on request from The Forum office.
  7. f) APPROVAL OF APPLICATION – Application for membership will require the approval of the Governing Body. This power may be delegated to the Executive Broad. Application of entities will be judged on the basis of reputation and activities in the Area of Telecommunications or related fields. Individuals will be judged on reputation, back ground and experience. Membership if not approved by the Governing Body, the same shall be communicated to the person concerned.
  8. g) RENEWALS – Membership once approved, shall be continuous until such time as a member has resigned or been removed from membership.
  9. h) EXPULSION OR REMOVAL – The Forum may expel or remove any member from The Forum on the following:-
  10. i) If the member works against the aims and objects of The Forum.
  11. ii) If the member tenders his / her resignation, and

 iii) If the member fails to attend three meetings of the General Body and fails to give genuine reasons for the failure.

  1. iv) A member may be removed on the decision of the Broad of Trustees.

 The reasons for expulsion or for removed shall be communicated to every members. Every such expelled member shall have a right to appear before the General Body which may or may not be accepted. Resignation or removal shall not affect the obligation of the member to pay the annual dues for the expired portion of the financial year in which the resignation removal occurs.

  1. AFFILIATE MEMBER

 Any person above the age of 18 yrs. Subscribing to the aims and objects of The Forum and interested in participating in the Programmes of The Forum may be registered an Affiliate member of The Forum. Such members will have no voting right but are entitled to receive publications, notice and other correspondence that may be sent to members. Affiliate members may attend annual meeting of members as observers therefore must pay on annual fees as determined by the Broad of Trustees.

  1. ORGANIZATION

 The Forum is organized as under:

 CHAIRMAN

 The President shall chair the meeting of the General Body and the Governing Body and will be competent to guide and promote the activities of The Forum.

  1. a) The President shall be the Chairman of The Forum.
  2. b) The chairman of The Forum shall be a member of the Governing Body and the General Body and shall preside over the meetings of the Executive and General Body.
  3. c) The chairman shall have the right to exercise a casting vote in addition to the vote which he I entitled as a member of the General Body.
  4. d) In absence of the chairman at any meeting of the General Body, the members present at the meeting of The Forum or the General Body may elect one from among themselves to function as the chairman meeting.
  5. e) The ruling and decisions of the chairman on matters of procedure at any meeting of The Forum or the General Body shall be regarded as final and binding on the meeting.
  6. f) The chairman shall hold office for two year from the date of his election.
  7. g) The chairman shall have the right to attend and participate in the meeting of advisory committee set up by The Forum.

 GENERAL BODY

  1. a) General Body of The Forum shall consist of:
  2. i) Members of the executives body.
  3. ii) Members of the community representatives of The Forum.

 iii) Members on whom the executive’s body has conferred membership of The Forum.

  1. iv) The Chairman of The Forum.
  2. v) The Secretary General.
  3. b) The General body of The Forum shall ordinarily meet once every year in an annual general meeting.
  4. i) Special meeting of the General Body may however, be convened by the Secretary General in consultation with the chairman or when desired by the Executives Body.
  5. ii) 1/3rd of the number of members of the General Body shall constitute the quorum for meeting of the General Body.

 Any meeting adjourned for quorum shall not required quorum or notice when its held after 24 hour and within 36 hour of the quorum for any transacting the same business.

  1. c) The Annual General Meeting of The Forum shall transact the following business:
  2. i) To consider and approve the annual report of The Forum.
  3. ii) To examine and adopt the audited accounts including the Balance Sheet and the Income and Expenditure Account for the preceding year.

 iii) To appoint statutory auditors and to fix their remuneration.

  1. iv) To review the working of The Forum and lay down General Policy and feature programme for the guidance of all concerned.
  2. v) To consider any other matter placed before in with the permission of the Chairman.

 BOARD OF TRUSTEES

 The Forum shall have a Board of Trustees by the General Board and consisting of not less than 7 and not more than 22 members for holding the property of The Forum and for holding the responsibility for transaction involving the purchase and sale of property and investment of funds. The Chairman of The Forum shall be the chairman of the Board of Trustees. The Chairman shall preside at all meeting of the members and trustees shall be even and Ex-Officio member of the Executive board.

 The tenure of the trustees will be two years.

 GOVERNING BODY / EXECUTIVE COMITTEE

 The Governing Body of The Forum shall be elected for a term of two years in the General Body meeting. The Governing Body shall consist of not less than seven (7) Members and not more than fifteen (15) and the principal decision-making instruments of The Forum with full responsibility for supervision of the business activities of The Forum. The Governing Body shall have such other powers as are given by low, by rules and regulations or by any amendments to the rules and regulation conferred by the members of the General Body. The officers of The Forum shall be President, Secretary General. Treasurer, one or two Vice Presidents and such other members from 3 to 10 as the General Body decides. Any one member may hold two or more offices simultaneously except:

  1. a) That the President may not also serve simultaneously as Secretary or Treasurer, and
  2. b) That there shall be a minimum of four (4) persons holding offices.

 The office bearer must be member of the General Body, and will serve on the Governing Body as individuals and not as representatives of entities.

  1. i) President

 The president shall exercise the power of the general supervision guidance and control over the activities and affairs of The Forum. He shall also call or direct the meeting to be called. He may, in an emergency, exercise any of the power of the Governing Body and take any decisions, which shall be intimated forthwith to the members of the Governing Body. In case of the equality of votes, in any meeting or any resolution or matters before the Governing Body, the president shall tender his second or casting vote. The president shall represent The Forum in all public and private offices. He shall undertake all types of correspondences on behalf of The Forum. The president shall preside over all the meetings of the members of The Forum and meetings of the Governing Body. The president shall also supervise the work of the other office bearers from time to time.

  1. ii) Vice President

 In the absence of the president, one of the senior Vice President shall preside over the meetings of the Governing Body and the general meeting of The Forum. He shall also perform such function as are assigned by the President of the Governing Body.

 iii) Secretary General

 The power and duties of the Secretary General subject to the direction and control of the president shall be as follows:

  1. a) To promote, develop, and organize the work of The Forum, and to implement the decision of Governing Body.
  2. b) To keep the all types of records of The Forum including the register of members containing therein the names, addresses and other brief particulars.
  3. c) To convene the meetings of The Forum and inform every member regarding date, time and place of the meeting and maintain records of the meetings.
  4. d) To implement or give effect to the decisions taken in the meetings to finality and report progress in the next Governing Body meeting.
  5. e) Any other duty that may be entrusted by the President or the Governing Body from time to time.
  6. iv) Treasurer
  7. a) To collect / disburse and otherwise manage the funds and supervise the maintenance to accounts in accordance with the approval of the Governing Body.
  8. b) To prepare and present the annual budget and to have the annual accounts prepared audited and present the balance sheet and income and expenditure Accounts to the Governing Body.
  9. c) Any other duty that may be entrusted by the president or the Governing Body form time to time.

 FUNCTIONS OF THE GOVERNING BODY

  1. i) The executive body shall lay down the policies of The Forum, receive and consider reports of various committees appointed by The Forum and formulate programmes for the furtherance of aims and objectives of The Forum.
  2. ii) The Executive body shall have powers:
  3. a) To solicit, obtain or accept subscription, donations, grants gifts, bequests and trusts from any person, firm company, corporation or institution with or without any condition.
  4. b) To acquire any property movable or immovable and right for the furtherance of all or any of the objects of The Forum.
  5. c) To borrow or raise money which may be required for the purpose of The Forum with or without any security upon bonds, debentures, promissory notes or other obligations or securities of The Forum or by the mortgage, hypothecation or pledge on the properties moveable and immovable of The Forum or by any other means whatsoever and on such terms as the Executive body may deem fit.
  6. d) To establish promote, manage, organize or maintain or assist in the establishing, promoting managing organizing or maintaining any branch office.
  7. e) Frame bye-laws for the working The Forum.
  8. f) To nominate community representatives of The Forum.
  9. g) To do all such other lawful acts, deeds, and things as are incidental or conducive or the attainment of the above powers or any one or more of them and of the objects of The Forum, either alone or in conjunction with others.

 

  1. h) On person resigning from Governing Body by giving his resignation in writing and it’s subsequent acceptance by the Governing Body, the Governing Body shall appoint a successor of fill any position of the Governing Body vacated during the term for which the officer was elected, and the successor so appointed shall serve in the predecessor’s position with the same title, duties and responsibilities until the next General Body Annual meeting.

 STANDING COMMITTEES

  1. i) The Executive body may set-up such committees as it considers necessary for the effective formulation of the programmes of The Forum when appointing standing committees, the Executive body shall define its area of work. Though persons who are not members of The Forum may be eligible for inclusion in such standing committees, the Chairman of the standing committees shall be nominated by the Executive body form among own members.
  2. ii) Standing committees will consider proposal presented by the secretary General and formulate recommendations for the consideration of the Executive body. Standing committees shall also have a right to make suo motto recommendation on questions falling within its terms its terms of reference.

 COMMUNITY REPRESENTATIVES

  1. i) The Executive body shall nominate community representatives in accordance with the bye-law framed in that behalf. A community representative may ordinarily be between 18 to 45 years of age. These community representatives hold office at the pleasure of the Executive body.
  2. ii) The Community Representative shall ordinarily hold office for one year.

 iii) The community representatives shall be responsible to the Executive body for promoting, developing and organizing the work of The Forum in his centre and for implementing the decisions of the Executive body in relation to his centre subject to the guidance and direction of the Secretary General.

 LOCAL REPRESENTATIVES

 

  1. i) Local representatives for the centers of The Forum shall be appointed by the Secretary General. A Local representative may ordinarily be between 18 to 45 year of age.
  2. ii) The local representatives shall be responsible for promoting and organizing work of The Forum in the centre subject to the guidance and direction of the Secretary General.

 iii) The local representatives shall take steps to ensure that a local committee is constituted at his centre within a year of his appointment.

LOCAL COMMITTEES

  1. i) There shall be a local committee of The Forum at every centre. A local committee shall consist of not less than 3 and not more than 5 members including the Convener of the committee and shall be constituted by the community representative or the local representative as the case may be with consultation with the Secretary General.
  2. ii) The tenure of the local committee shall be co- terminus with that of the community representative or the local representative who constitutes the committee.

iii) Local committee shall be responsible for implementing the programmes laid down by the Executive body form time to time.

ADVISOY COMMITTEE

  1. i) The Forum shall have an advisory committee consisting of distinguished persons who, by reason of their education, learning, experience and status are competent to advise The Forum on its programme and in formulation of policies and projects in the furtherance of the objects of The Forum.
  2. ii) The Advisory committee shall be constituted by the board of trustees and shall consist of not more than five persons including its Chairman. The Executive director of the pacific Telecommunication Council, USA, would be a member of the Advisory committee.

iii) The tenure of the advisory committee will be two year.

  1. iv) The committee ordinarily meets once a year.
  2. MEETINGS
  3. a) Annual Meetings

The Forum shall hold at least one meeting of the members per years.

  1. b) Special Meetings

Special meetings of the members may be held at the discretion of the Governing Body subject to reasonable more notice to members.

  1. c) Notice of the Meetings

The Secretary General or the other person or persons designated by the Governing Body to call for meetings shall give 21 days advance written notice to the each proposed meeting of members indicating the purpose, place, day and time of the meeting. Notice served at the address registered with The Forum through post shall be deemed to have duly served on the day following on which the same in posted and no error or irregularity in such posting or communication shall invalidate the proceedings held and the decisions taken at any of the meetings. A certificate signed by the Secretary General that the notice was posted will be a conclusive evidence thereof.

  1. d) Quorum

At the annual meetings of members a majority of the members registered who are present or by proxy shall constitute a quorum. At special meetings of the members, the quorum shall be one- third (1/3) of members and also one- third (1/3) of the Governing Body must be present.

  1. RESOLUTIONS

Resolutions may be passed at any Meeting of the General Body, Executive body or any of the committees or the sub-committees by show of hands. Any resolution voted by the majority of members present shall be deemed to have been duly passed.

  1. FINACIAL YEAR

The financial year of The Forum shall be from 1st April to 31st march every year.

  1. BANK ACCOUNT CREATION OR EXECUTION OF FUNDS

The bank account of whatever description in the name of The Forum shall be jointly operated by the president and the Secretary General or by any other person so authorized by the Governing Body along with the president or the Secretary General of The Forum.

  1. ELECTION

The Governing Body or The Forum shall be elected for a term of two years in the General body meetings. The secret ballot system can be the mode of election or it may be through nomination as well. After every election a list of office bearers and the election proceedings shall be attested by three (3) outgoing office bearers and it will be filed with the Registrar of societies, Delhi.

  1. AUDITOR

The General Body at any annual meeting or at any special meeting called for that purpose shall elect person, firm engaged in the business of auditing as the statutory Auditors of The Forum.

  1. INDEMNITY
  2. i) Every member of the General body, auditor, chairman, Secretary General and all other office bearers and such other persons of The Forum be indemnified by The Forum out of the funds of The Forum against all liabilities arising out of the acts and things done by him in performance of the duties entrusted to him, by payment of all sums by way of damages or otherwise, and all losses cost, charges or expense which he may incur or become liable to by reason of any contract entered into or any act or deed done by him as such member, auditor, chairman, Secretary General, office bearer or such other person on in any way in or about the discharge of his duties.
  3. ii) No member of the General body, auditor, chairman, Secretary General or other office bearer an such other persons of The Forum shall be liable for acts, neglect or defaults of any other members of the General body, auditor, chairman, Secretary General or any other office bearers and such other persons of The Forum or for joining in any receipt or other acts for the sake of conformity merely or any other loss or expenses happening to The Forum through the insufficiency or deficiency in point of title or value of any property acquired for or on behalf of The Forum or for the insufficiency or deficiency of any security in or upon which any of The Forum shall be invested for any Loss or damage from the bankruptcy, insolvency or tortuous acts of any person, company or corporation to or with whom any moneys securities or effects of The Forum shall be entrusted or deposited or for any loss occasioned by any error of judgment, omission, default or oversight on his part or for any other loss, damages or misfortune whatever which shall happened in relation to the execution or performance of the duties of his office or in relation thereto, unless the same happen through his own dishonesty.
  4. ANNUAL LIST

Every year, a list of Governing Body office bearers and members shall fill in the office Of the Registrar of Societies, Delhi, is required under Section 4 of the Societies Registration Act, of 1860.

  1. LEGAL PROCEEDINGS

The Forum may sue or the be sued in the name of its President/ Secretary General as required Under Section 6 of The Societies Registration Act. Of 1860, as application to the National Capital Territory of Delhi.

  1. AMENDMENTS

Any amendments in the Memorandum of Association or rules will be carried out in accordance with procedure laid down under section 12 and A of societies Registration Act, 1860.

  1. DISSOLUTION
  2. i) The Governing Body may at a special meeting convened for that purpose, decide to dissolve The Forum provided that two months due notice of the Agenda of such meeting to consider the dissolution shall be given and provided further that 2/3 of the number of members of the General body vote in favour of the resolution proposing such dissolution.

 

  1. ii) In case the General body accepts such a resolution for dissolution of The Forum it shall also determine the procedure and method to be adopted for the dissolution and the disposal of properties assets and liabilities of The Forum. It shall be dissolved as per the provisions laid down under section 13 and 14 of the Societies Registration Act, 1860, as application to NCT of Delhi.
